By clicking “submit” below to submit my idea to Seaman Corporation (“Seaman”), I understand and agree to be bound to the following terms and conditions:
- I am at least 18 years old.
- My submission is an original idea, and I am the owner of the idea I am submitting to Seaman Corporation.
- The information I am submitting to Seaman Corporation is true and correct, and does not contain viruses, worms, spyware, adware, or other potentially damaging programs or files.
- I am not violating any agreement or understanding I have with another party, including my current or former employer.
- I am aware that under the law of the United States and most foreign countries, I may be able to protect my idea through application for patents, trademarks, copyrights or maintain my idea as a trade secret by protecting it from non-confidential disclosure.
- Seaman Corporation is free to test, evaluate, use and commercialize any or all of the ideas in my submission for any purpose whatsoever and without compensation to me, except as restricted by any valid patent, or except as otherwise separately agreed to in writing by Seaman Corporation and me.
- Seaman Corporation is under no obligation to use my idea or to hold it in confidence. Nor is Seaman Corporation obligated to return or acknowledge receipt of my submitted information.
- I do not have a confidential, fiduciary or other relationship with Seaman Corporation, and no such relationship shall arise, in the absence of a separate written agreement signed by a duly authorized Seaman Corporation officer.
- No effect will be given to the marking of any information I submit as “Confidential” or “Proprietary” or the like.
- No Seaman employee has authority to enter into a verbal confidentiality agreement or otherwise vary the terms of these terms and conditions, except through a writing signed by a duly authorized Seaman Corporation officer.
- These terms and conditions apply to all or any portion of my initial submission, and all other information I have provided or will later provide to Seaman Corporation in any form, unless and until Seaman Corporation decides to enter into a written confidentiality agreement with me in which case such agreement will govern the submission of additional information beginning on the date of execution of such agreement.
- I have had the opportunity to consult with an attorney regarding these terms and conditions, if desired.
- If, for any reason, a court of competent jurisdiction finds any provision of these terms and conditions, or portion thereof, to be unenforceable, that provision of these terms and conditions shall be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of these terms and conditions shall continue in full force and effect.
- Any disputes arising between Seaman Corporation and me regarding these terms and conditions or my idea will be governed by the laws of the State of Ohio without regard to its conflict of law principles, and I agree to submit to the personal jurisdiction of the state or federal courts in Ohio as the exclusive venue to resolve such disputes.
